On January 1, 2024, the Corporate Transparency Act (the "CTA") became effective. The CTA created a national database of beneficial ownership information for most types of business entities, including the majority of all limited liability companies and corporations.
All non-exempt limited liability companies and corporations will initially be required to disclose to the Financial Crimes Enforcement Network ("FinCEN"), a division of the United States Treasury Department, personal identifying information about (i) the individual(s) creating the business entity (this information is only required for business entities formed after January 1, 2024), (ii) certain beneficial owners of such business entity and (iii) the directors, managers, officers, employees and others with substantial control over such business entity (collectively, the "Beneficial Owners" making an "Initial Filing"). In addition, each business that registers with FinCEN will be required to file updated information with FinCEN within thirty (30) days of any change relating to the previously reported information (each a "Supplemental Filing").

However, Arlington Law Group is not responsible for proactively following up with you to ascertain when and if any further Supplemental Filings may be required. It is your responsibility to schedule a follow up review with Arlington Law Group any time that the beneficial ownership or controlling parties of your business change.
